(Agree To User Agreement by using Lookiez Services)

Terms and Conditions

1. Search Engine

Lookiez.com search network provides the visitors with a directory of websites and services provided both by Lookiez advertisers and through partnerships with third party directories. The visitor obtains a possibility to access provided in web directory websites and services which may or may not be hosted on Lookiez.com website. Lookiez reviews the websites in the directory very carefully, but makes no warranties as to the legality, nature or content of these websites.

2. Partners:

Advertisers

Advertising on Lookiez is done on Pay-Per-Click basis, the advertisers account will be debited with sufficient amount of money equal to the bidded amount for every unique click on a Paid Listing under specific keyword. By adding their site to the Lookiez directory, Advertisers agree to pay Lookiez a pre-specified amount for each unique visitor sent to the Advertiser's website.

Lookiez reserves the right to remove any advertiser or website link at any time and for any reason. Listings which don’t meet Lookiez standards will not be accepted. All deposits are non-refundable.

Lookiez is not responsible for a broken link which might occur when a URL directs the user to a link that is not functional. Signs that a link is broken include: server not responding, a 404-error message, and being directed to an outdated site page.

After creating unique login and password Advertiser will receive access to all advertising tools provided by Lookiez. Using Lookiez account Advertiser will be able to change and track the results of advertising campaign anytime.

Advertiser website/service will be displayed and accessible thru Lookiez partner's websites (Affiliates) under chosen keyword with full title, description and link provided to Lookiez.

Affiliates

Webmasters may join Lookiez as an affiliate only if they have English written web site with at least 3000 total monthly page views. Affiliates are not allowed to place Lookiez graphics on website pages that have foreign text ,on any web page that receives traffic mainly from not accepted countries. Also incentive-based and free hosted websites are not allowed.
Affiliate will be paid for valid traffic only. Lookiez reserves the right to verify whether the Partner's traffic is valid and thus deserving of compensation. Lookiez will pay ONLY for traffic from United States, Canada, Australia, Austria, Belgium, Denmark, Finland, France, Germany, Greece, Iceland, Italy, Netherlands, New Zealand, Norway, Portugal, Spain, Sweden, Switzerland and United Kingdom. Some advertiser listings promoted by Lookiez.com may only provide credit to your account for North American based IP addresses

All valid traffic must be a result of a visitor performing a search by entering keywords into a search box or clicking on a text link. Visitor must choose to click on the link by their own will. Affiliate agrees not to try to create an incentive for people to click on a Paid Listing as this will result in immediate termination of an Affiliate account.

Any kind of cheating and fraud with the program will not be tolerated and such accounts will be immediately removed from the program. Affiliate will not use illegal means like free proxy servers, spiders or any software to send traffic to our site.

Lookiez will provide the Affiliate with HTML coding that displays the Search Results or Search Box. Affiliate will not change the Search Box(es), Search Results or the Lookiez.com Marks or any other material that may be licensed to Member without Lookiez.com prior written approval.

The Affiliate will have access to an online tracking system and will choose a unique login and password that will enable the Partner to access its account information. This tracking system is furnished for informational purposes only and is not intended to be a final, binding statement of the Partner's account. Lookiez reserves the right to review and evaluate all traffic as may be delivered by the Affiliate to determine its validity and make corresponding adjustments to the Affiliate's account.

Lookiez will compensate the Affiliate for valid traffic, as described above. All payments will be made at most once per month (on "net 45" basis) at the request of the Affiliate, with the minimum of $10. Affiliate can request payment once per month and will be paid by PayPal, MoneyBookers or E-gold. All Affiliates are compensated at Cost-Per-Click basis and Lookiez will pay 70% of net revenue generated from all the valid clicks the Affiliate deliver. Partners will be also compensated for recommending our program to other webmasters with 5% of the earnings made by referred Affiliates and 5% of all of deposits made by referred Advertisers.

SPAM

Partner may not promote their referral links or send visitors to Lookiez web directory through unsolicited emailing (i.e. SPAMMING), newsgroup postings, or any other method of mass communication. Failure to comply will result in immediate termination of Partners membership with Lookiez and may result in legal prosecution. Lookiez strictly enforces anti-Spamming laws. Spamming is a federal crime. Any Partner caught Spamming will not only have their account terminated immediately and lose any past, present and future earnings, but shall also be held liable for Spamming as we shall cooperate with any authorities and investigations that may arise from the Spamming incident. Multiple sign-ups shall be grounds for immediate termination of all involved accounts. Signing up multiple times from the same computer also constitutes fraud. Lookiez will file charges for recovery of any earnings received from multiple sign-ups.

3. Limitation of Lookiez's Liability

Neither Lookiez nor any of its officers, directors, agents, subsidiaries, affiliates, employees, successors, assigns, content providers, or service providers will be liable to you for any indirect, incidental, special or consequential damages arising out of use of the services, or inability to gain access to or use the services. Lookiez will not be liable for any material of web sites it links to as a part of the services or for information contained in or part of the services including but not limited to search results. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. In such states, the respective liability of Lookiez, its employees, agents, successors, assigns, affiliates, and content or service providers is limited to the greatest extent permitted by such state law.

Lookiez does not arbitrate or resolve trademark disputes among Lookiez advertisers or between those advertisers and third parties. However, Lookiez will promptly comply with an order of a court of competent jurisdiction concerning a trademark issue. Lookiez occasionally receives requests to remove listings from within the services. Lookiez reserves the right to address such requests on a case-by-case basis.

4. Relationship of the Parties

You and Lookiez are independent contractors, and nothing in this Agreement creates any partnership, joint venture, agency, franchise, sales representative or employment relationship between you and Lookiez. You understand that you do not have authority to make or accept any offers or make any representations on behalf of Lookiez. You may not make any statement, whether on your site or otherwise, that would contradict anything in this section. You are solely responsible for the reporting and payment of any taxes for money earned while using the program.

5. Payments

Lookiez will only pay any commission, referral income and bonus money if we are successful in getting advertisement. We are not liable to pay any Member without getting paid by advertisers. Commissions are directly related to the advertising revenue generated by Lookiez.

6. Changes to Agreement

Lookiez may amend this agreement at any time by posting the amended terms on its web site. Except as stated below, all amended terms are automatically effective 14 days after they are initially posted. This agreement may not be otherwise amended except in a written document signed by you and Lookiez.

Lookiez's Privacy Policy is part of User Agreement, and you agree that use of the data as described in the Privacy Policy is not an actionable breach of your privacy or publicity rights. If you have entered another agreement with Lookiez then you may be subject to additional or different provisions regarding privacy and data collection.

Lookiez does not collect personally identifying information from users of the services unless users have explicitly given such information to Lookiez (for example, when becoming an advertiser or affiliate, or when sending us an email). This way Lookiez can obtain access to your name, e-mail address and other contact information provided during the registration process. Lookiez stores all data behind carefully selected security devices and it is held in the strictest confidence, protected by the chosen security standards. Lookiez may use registration information to make Partners (Affiliates and Advertisers) aware of new product, service updates or special offers and promotions.

Lookiez collects data about traffic and use of the Services, but it is not supplemented or combined with personally identifying or identifiable information. For example Lookiez servers collects some information about the site from which you send visitors to Lookiez, number of visitors, information about the most frequently searched terms to help its Advertisers provide the most relevant search results and also information about usage to check for fraudulent behavior. Lookiez may share information its collects with certain selected third parties, but only in aggregated, anonymous form. Lookiez will also share with Advertisers the information and links of the websites of our Affiliates who refer visitors to our Advertisers and third party search results providers websites.

Lookiez fully cooperates with law enforcement agencies in identifying those who use our services for illegal activities. We reserve the right to release information about members who we believe is in violation of our content guidelines. We also reserve the right to report to law enforcement agencies any activities that we reasonably believe to be unlawful.

Lookiez does not sell, rent or trade user information to other companies. When you click on links and/or ad banner you will be taken to advertisers sites that may collect personally identifiable information about you when you access them from Lookiez, you will be subject to the third parties' Privacy Policies. This type of collection or use of personal information is beyond Lookiez's control and is not covered by this Privacy Policy.

By using Lookiez, you indicate that you agree to the collection and use of your personal information by Lookiez as outlined in this Privacy Policy.

We reserve the right, at our discretion, to change, modify, add, or remove portions of this policy at any time. Please check this page periodically for changes. Major changes will be updated through the emails.
